Broadcom to lend Anthropic up to $42 billion for chip leases, IPO filing shows

Chipmaker Broadcom has agreed to lend Anthropic up to $42 billion via convertible notes to help finance infrastructure and chip leases, according to Anthropic’s IPO prospectus as reported exclusively by Reuters on 1 October. The facility could cover about one-third of a $125.2 billion five-year TPU lease commitment disclosed in the filing.

Anthropic’s IPO prospectus discloses an unusually deep financing and supply relationship with Broadcom: the chipmaker has agreed to lend the AI lab up to $42 billion to help pay for compute leases, Reuters reported exclusively on 1 October from New York and San Francisco.

Convertible facility tied to TPU leases

According to the filing as summarised by Reuters, Broadcom’s convertible-note facility could finance about one-third of Anthropic’s $125.2 billion five-year commitment to lease tensor processing unit (TPU) computing capacity. The debt instruments may convert into Anthropic equity; Broadcom could also designate a financing partner. Anthropic said it does not expect notes to be sold before it completes its IPO. Google and Broadcom have collaborated on TPU generations; Anthropic announced in April an expanded partnership for multi-gigawatt next-generation TPU capacity beginning in 2027.

Conflict-of-interest warning

Anthropic warned in the prospectus that Broadcom’s dual role as hardware supplier and financing partner creates “potential conflicts of interest” that could affect access to computing power and pricing, Reuters reported. Broadcom declined to comment; Anthropic declined to comment. The arrangement follows a pattern seen with Nvidia’s balance-sheet support for chip customers, analysts told Reuters.
